MAMPRA – Rehabilitation Administrator Collaborative

This Non-Disclosure & Confidentiality Agreement (“Agreement”) is entered into by and between the undersigned Participant (“Participant”) and the members of the Michigan Association of Medical Program Rehabilitation Administrators (MAMPRA).

1. Purpose

MAMPRA meetings, including in-person sessions, virtual meetings, email communications, shared documents, text messages, and teleconferences, involve the discussion and exchange of sensitive business, operational, financial, regulatory, and clinical information. The purpose of this Agreement is to protect the confidentiality of such information and ensure its appropriate use.

2.Definition of Confidential Information

“Confidential Information” includes, but is not limited to:

  • Facility-specific operational data
  • Financial, reimbursement, payer, or contracting information
  • Benchmarking data, quality outcomes, productivity metrics
  • Strategic plans, staffing models, marketing strategies
  • Regulatory interpretations, audit experiences, compliance practices
  • Patient-related information not otherwise protected under HIPAA
  • Information shared verbally, electronically, or in written format
  • Any documents, screenshots, photos, recordings, or files derived from MAMPRA communications

 

Confidential Information does not include information that:

  • Is publicly available through no fault of the Participant; or
  • Is independently developed without reference to MAMPRA shared content.

An organization or associate member will become a Member as of the date designated in the action approving such organization as a Member.

3. Obligations of Participant

The Participant agrees to:

  1. Use Confidential Information solely for professional development and collaboration within MAMPRA.
  2. Not disclose, distribute, reproduce, photograph, record, forward, or share any Confidential Information with any non-MAMPRA individual or entity without express written consent of the originating party.
  3. Maintain reasonable safeguards to prevent unauthorized access or disclosure.
  4. Refrain from attributing specific facilities, individuals, or organizations when discussing information outside MAMPRA unless permission is granted.

4. Permitted Disclosures

Confidential Information may only be disclosed if:

  • Written permission is obtained from the originating organization; or
  • Disclosure is required by law, subpoena, or regulatory authority, in which case the Participant will provide prompt notice to MAMPRA leadership when legally permissible.

5. Term of Agreement

This Agreement shall remain in effect for the duration of the Participant’s involvement with MAMPRA and for three (3) years thereafter.

6. Breach & Remedies

The Participant acknowledges that unauthorized disclosure may result in:

  • Removal from MAMPRA participation
  • Reporting to organizational leadership
  • Legal remedies, including injunctive relief or damages as permitted by law

7. No License or Ownership

This Agreement does not grant any ownership rights or license to use Confidential Information beyond the scope outlined herein.

8. Governing Law

This Agreement shall be governed and interpreted in accordance with the laws of the State of Michigan.
